Run To The Top Affiliate Program – Terms of Use

 

These Terms of Use (“Terms”) govern participation in the Run To The Top Affiliate Program (“Affiliate Program”), operated by San Antonio Town Hall (“we,” “us,” or “our”) through run2top.com (the “Website”). By applying to or participating in the Affiliate Program, you (“Affiliate,” “you,” or “your”) agree to be bound by these Terms.

If you do not agree to these Terms, you may not participate in the Affiliate Program.


1. Affiliate Program Overview

The Run To The Top Affiliate Program allows approved affiliates to earn commissions by promoting registration and related products or services for the Run To The Top race using unique tracking links provided by us.


2. Eligibility and Enrollment

2.1 Eligibility
To participate, you must:

  • Be at least 18 years old

  • Have a valid website, social media account, or marketing channel

  • Comply with all applicable laws and regulations

2.2 Application Approval
We reserve the right to approve or reject any affiliate application at our sole discretion for any reason, including but not limited to content quality, brand alignment, or compliance concerns.


3. Affiliate Responsibilities

As an Affiliate, you agree to:

  • Promote Run To The Top in a truthful, ethical, and lawful manner

  • Use only approved marketing materials, links, and branding assets

  • Clearly disclose your affiliate relationship where required by law (including FTC disclosure guidelines)

  • Avoid misleading, deceptive, or false claims about the race, pricing, or benefits

You may not:

  • Use spam, unsolicited emails, or deceptive advertising practices

  • Bid on our brand name, trademarks, or misspellings thereof in paid search advertising without written permission

  • Impersonate Run To The Top or represent yourself as an employee or official partner beyond being an affiliate

  • Use coupon or discount claims unless explicitly authorized


4. Tracking and Referrals

Affiliate referrals are tracked using unique affiliate links assigned to you. Commissions are earned only for qualifying registrations or purchases that are correctly tracked by our system.

We are not responsible for commissions lost due to:

  • Tracking failures

  • Cookie deletion or expiration

  • Technical issues outside our reasonable control


5. Commissions and Payments

5.1 Commission Structure
Commission rates, qualifying actions, and payment schedules will be communicated separately and may be updated from time to time.

5.2 Payment

  • Payments are issued only for valid, completed, and non-refunded registrations

  • We reserve the right to withhold or reverse commissions for fraudulent, cancelled, or refunded transactions

  • Minimum payout thresholds may apply

5.3 Taxes
Affiliates are responsible for all applicable taxes, fees, and reporting obligations related to affiliate earnings.


6. Intellectual Property

All trademarks, logos, branding, race names, and content related to Run To The Top are our exclusive property. Participation in the Affiliate Program grants you a limited, non-exclusive, revocable license to use approved materials solely for promotional purposes under these Terms.

You may not alter our logos or branding without written permission.


7. Term and Termination

7.1 Term
These Terms remain in effect as long as you participate in the Affiliate Program.

7.2 Termination
We may suspend or terminate your participation immediately, with or without notice, if you:

  • Violate these Terms

  • Engage in fraudulent or unethical behavior

  • Harm or potentially harm the Run To The Top brand

Upon termination, all affiliate links must be removed, and any unpaid commissions may be forfeited at our discretion.


8. Limitation of Liability

To the maximum extent permitted by law, Run To The Top shall not be liable for indirect, incidental, special, or consequential damages arising from your participation in the Affiliate Program, including loss of revenue or data.


9. Indemnification

You agree to indemnify and hold harmless Run To The Top, its owners, organizers, partners, and affiliates from any claims, damages, losses, or expenses arising from:

  • Your participation in the Affiliate Program

  • Your marketing activities

  • Your violation of these Terms or applicable laws


10. Modifications

We reserve the right to modify these Terms at any time. Updates will be posted on run2top.com, and continued participation in the Affiliate Program constitutes acceptance of the revised Terms.


11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Run To The Top is organized, without regard to conflict of law principles.

13. Data Protection and Privacy

Both parties agree to comply with all applicable data protection and privacy laws, including but not limited to the EU General Data Protection Regulation (GDPR), the UK GDPR, and any applicable national implementing legislation.


13.2 Personal Data Collected

In connection with the Affiliate Program, we may collect and process personal data including, but not limited to:

  • Affiliate name and contact information

  • Email address

  • Payment and tax-related information

  • IP addresses, referral URLs, and tracking identifiers

  • Performance and commission data

This data is processed solely for purposes related to operating, administering, and improving the Affiliate Program.

Your personal information will never be sold or transferred. It is solely for communications associated with the race.


13.3 Lawful Basis for Processing

We process personal data under one or more of the following lawful bases:

  • Performance of a contract (to operate the Affiliate Program)

  • Legal obligation (tax, accounting, and regulatory compliance)

Affiliates are responsible for ensuring that their websites or platforms comply with applicable cookie consent requirements, including providing clear notice and obtaining consent where required.

We retain personal data only for as long as necessary to:

  • Fulfill Affiliate Program obligations

  • Meet legal, tax, and accounting requirements

  • Resolve disputes and enforce agreements
